Robotics Investor Data Room: A Practical Diligence Checklist
Organize product evidence, IP, quality, supply chain, pilots, economics, governance and risks so an investor can verify the company rather than decode it.

1. Product and technical evidence
Provide architecture, requirements, controlled design records, prototype history, configuration list, verification plan, results, unresolved issues and roadmap. Link each important claim in the investor deck to the document that supports it.
2. IP, ownership and freedom to operate
Include invention assignments, employee and contractor agreements, applications, search reports, office actions, deadlines, trade-secret controls, software licenses and freedom-to-operate analysis. Clearly distinguish applications from granted rights and company knowledge from third-party dependencies.
3. Industrial readiness and supply chain
Show the bill of material, costed design, critical suppliers, single-source exposure, tooling, assembly flow, inspection, traceability, capacity assumptions, quality plan and service parts. Investors need to see the path from prototype cost to repeatable unit economics.
4. Customers, pilots and economic evidence
Separate conversations, qualified opportunities, contracted pilots, deployments and recurring customers. For each pilot, document the task, baseline, result, safety events, user acceptance, support load, commercial next step and permission to use the reference.
- Pipeline definitions and evidence behind each stage.
- Pricing logic, gross-margin bridge and service assumptions.
- Use of funds mapped to evidence-producing milestones.
5. Governance, people and risk
Include cap table, corporate records, decision rights, key-person dependencies, hiring plan, related-party transactions, litigation, compliance, insurance, grants and a live risk register. A credible data room does not hide uncertainty; it shows that uncertainty is known, owned and managed.
